ComisLogic End User License Agreement v1.0.

This license agreement is between you and ComisLogic and covers terms and conditions for your use of ComisLogic software and services.

DEFINITIONS

"ComisLogic software" refers to software copyrighted and provided by ComisLogic. This includes, but is not limited to, ComisLogic websites and the ComisLogic instant messenger client.

"ComisLogic services" refers to public services operated by ComisLogic. This includes, but is not limited to, ComisLogic websites and instant messaging servers.

TERMS AND CONDITIONS
1. General permissions

ComisLogic grants you limited personal permission to download, install and use ComisLogic software and limited personal permission to use ComisLogic services.

2. Conditions for ComisLogic software
2.1 Modification

You will not modify, reverse engineer, decompile, create derivative works of ComisLogic software except to the extent permitted by law.

2.2 Distribution

You will not distribute ComisLogic software.

2.3 Transfer of rights

You will not sublicense ComisLogic software or otherwise grant rights to third parties.

2.4 Automatic updates

ComisLogic may force an update of ComisLogic software installed on your computer.

3. Conditions for ComisLogic services
3.1 Service accounts

You are allowed to create a maximum of 5 personal accounts. Your terminated accounts do not count towards this limit. You will not automate the creation of accounts.

3.2 Communication not intended for you

You will not monitor, modify or otherwise interfere with communication not intended for you.

3.3 Network traffic

You will not reverse engineer network traffic used by ComisLogic services except to the extent permitted by law.

3.3 Access using third party software

You will not access ComisLogic services using third party software.

3.4 Access third party services

You will not use ComisLogic software to access third party services.

3.5 Impact on service operation

You will not disturb normal ComisLogic service operation by automating communication or otherwise creating load scenarios not intended by ComisLogic software and services.

4 Content
4.1 Copyright

You will not use ComisLogic services to publish content that is subject to copyright of third party unless you have permission from the owner.

4.2 Distribution

You will not distribute content from ComisLogic services except to the extent permitted by law.

4.3 Idemnification

You agree to idemnify, defend and hold ComisLogic harmless from any liability and costs incurred by, but not limited to, legal actions in connection with or arising out of your publication of content using ComisLogic services.

4.4 ComisLogics use of content published by you

You hereby grant ComisLogic an irrevocable, royalty-free, perpetual, sub-licensable and transferable license for content made publicly accessible by you through ComisLogic software and services to: a) Modify, publish and reproduce the content. b) Use the content for promotional purpose.

4.5 Removal

ComisLogic may at any time without notice remove content provided by you.

5 Term, termination and updates
5.1 Term

This license agreement will become effective from the day that you press the ACCEPT button or download ComisLogic software or otherwise gain access to ComisLogic services, whichever comes first.

It will remain effective until terminated by you or ComisLogic as set out below.

5.2 Termination initiated by you

You may terminate the license at any time.

5.3 Termination initiated by ComisLogic

ComisLogic may terminate the license automatically and without recourse to the courts under these conditions, but not limited to: a) ComisLogic thinks you are in violation of the terms and conditions of the license. b) ComisLogic thinks you are using ComisLogic software or services for unlawful purposes. c) ComisLogic thinks you have become inactive. d) ComisLogic thinks you are causing problems to the operation of ComisLogic services. e) ComisLogic is closing down its services or is otherwise unable to maintain the operation of ComisLogic services.

5.4 Consequence of termination
5.4.1 Termination of rights

The rights granted to you in this license to use ComisLogic software and services are terminated immediately. You will immediately cease to use ComisLogic software and services. You will immediately destroy all copies of ComisLogic software in your possession.

5.4.3 Removal of accounts

ComisLogic will disable or delete your ComisLogic service accounts.

5.4.4 Disable software

ComisLogic may disable ComisLogic software on your computer without notice to you.

5.5 Updates

ComisLogic may change the license agreement at any time by publishing the revised license agreement on the ComisLogic services website. The revised license agreement will become effective within 30 days of its publication. Your continued use of ComisLogic software and service after that date will constitute your acceptance of the revised license agreement.

6 DISCLAIMER OF WARRANTIES

THE COMISLOGIC SOFTWARE AND SERVICES IS PROVIDED “AS IS” WITH NO WARRANTIES WHATSOEVER. COMISLOGIC DOES NOT, EITHER EXPRESSED, IMPLIED OR STATUTORY, MAKE ANY WARRANTIES, CLAIMS OR REPRESENTATIONS WITH RESPECT TO THE COMISLOGIC SOFTWARE AND SERVICES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OR CONDITIONS OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR USE FOR A PARTICULAR PURPOSE. COMISLOGIC FURTHER DOES NOT REPRESENT OR WARRANT THAT THE COMISLOGIC SERVICES SOFTWARE WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE AND ERROR-FREE.

7 LIMITATION OF LIABILITY

YOU ACKNOWLEDGE AND AGREE THAT COMISLOGIC AND ITS STAFF WILL HAVE NO LIABILITY IN CONNECTION WITH OR ARISING FROM YOUR USE OF COMISLOGIC SOFTWARE AND SERVICES. YOUR ONLY RIGHT OR REMEDY WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH COMISLOGIC SOFTWARE AND SERVICES IS TO IMMEDIATELY DEINSTALL AND CEASE USE OF IT.
